Andrew Totman

Mr. Totman joined Hudson Housing Capital in April 2024 and works with Hudson’s other in-house counsel to advise the company and coordinate with external counsel in executing project and fund level closings, including negotiation of equity documents and resolution of due diligence matters.
Prior to joining Hudson Housing Capital, Mr. Totman was a tax credit syndication partner with Klein Hornig LLP in Boston. At Klein Hornig Mr. Totman focused his business and tax law practice on a wide range of affordable housing and community development matters, representing national and regional syndicators and direct investors in equity financing for low-income housing tax-credit properties. He also occasionally counseled developers and state tax credit intermediaries on a variety of issues arising in their tax credit transactions. Mr. Totman brings experience combining housing tax credit equity with historic tax credits, state tax credits, investment tax credits, and other public and private incentives. He has advised clients on numerous types of transactional structures, including income-averaging, mixed-income and mixed-use projects, as well as those combining 9% and 4% low-income housing tax credits. Prior to earning partnership at Klein Hornig, Mr. Totman was an associate at the firm. He started his career as an associate in the business department at Cooley LLP focusing on venture capital and private equity financings, capital markets, mergers and acquisitions and corporate governance matters.
Mr. Totman received his B.A. from the University of Pennsylvania, and his J.D. from the Duke University School of Law, where he was an editor for the Law & Contemporary Problems journal and received the James S. Bidlake Memorial Award in Legal Analysis, Research & Writing. He is a member of the bar of the Commonwealth of Massachusetts.
